Research questions and hypotheses were formulated. It also x-rayed the evolution of banking and corporate governance, definition framework and concept of corporate governance, the relevant and codes of corporate governance as well as the structure of First Bank and Fidelity Banks corporate governance. The weakness associated with banks' corporate governance gives rise to various challenges/problems of a bank’s corporate governance and the possible prospects/practices that will promote a banks’ corporate governance. The descriptive research design was adopted which made use of structured questionnaires. The Yaro Yamen formula was used to determine the sample size of the study. The simple percentage method and the chi-square were used for data analysis and interpretation and test of hypothesis. It also viewed the finding of the study and recommended that there should exist a proactive and positive relationship between banks and regulatory authorities.
